End User License Agreement (EULA) for PayStorm AI

PLEASE READ THIS END USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY.

BY ACCESSING OR USING THE PAYSTORM AI SERVICE – INCLUDING ANY INTEGRATIONS (E.G., QUICKBOOKS PRODUCTION KEYS) – YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

1. License Grant

Subject to your compliance with the terms of this Agreement, AldAstra ("we", "us", "our") hereby grants you a limited, non-exclusive, non-transferable, revocable license to access and use the PayStorm AI service (the "Service") solely for your internal business operations and research purposes.

2. Description of the Service

The PayStorm AI Service is an AI-driven invoicing platform designed to help agencies manage invoices and cash flow efficiently. Key features include:

• Late Payment Prediction: Identifies invoices at risk of overdue payments.
• Automated Follow-Ups: Sends personalized reminders based on client history.
• Smart Incentives: Applies dynamic late fees, discounts, or installment options.
• Accounting Integration: Enables seamless data synchronization with QuickBooks, Xero, and similar platforms.
• In connection with the Service, you may receive production keys for integrating with QuickBooks, Xero, or other similar platforms. Use of such keys is governed by this Agreement and any applicable third-party terms.

3. Use of Third-Party Services

When integrating with QuickBooks or other third-party platforms:

• You agree to comply with all applicable terms of service and policies of the third-party provider.
• We are not responsible for any issues or liabilities arising from your use of third-party services or production keys provided for such integrations.

4. Research and Development

The Service may include experimental or research-driven features. While we strive for high accuracy and reliability, certain features may still be in the development phase. You acknowledge and accept that:

• The Service is provided on an "as is" and "as available" basis.
• Ongoing research may lead to modifications or improvements without prior notice.

5. Restrictions

You agree that you will not:

• Reverse engineer, decompile, or otherwise attempt to derive the source code or underlying structure of the Service.
• Use the Service in any manner that violates applicable laws, regulations, or the rights of third parties.
• Rent, lease, sublicense, distribute, or otherwise provide the Service to any third party without our express written consent.
• Modify, adapt, or create derivative works based on the Service without explicit permission.

6. Intellectual Property Rights

All rights, title, and interest in and to the Service, including any software, technology, documentation, and any modifications thereto, remain the exclusive property of AldAstra and its licensors. This Agreement does not grant you any ownership rights.

7. Privacy and Data Security

Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference. You agree to:

• Follow all applicable data protection laws.
• Use the Service in a manner that protects the confidentiality and integrity of data.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

IN NO EVENT SHALL ALDASTRA OR PAYSTORM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify, defend, and hold harmless AldAstra and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

• Your use of the Service.
• Your violation of this Agreement.
• Your infringement of any intellectual property or other rights of any person or entity.

11. Term and Termination

• Term: This Agreement is effective until terminated by either party.
• Termination by You: You may terminate this Agreement at any time by ceasing all use of the Service.
• Termination by Us: We may terminate or suspend your access to the Service immediately if you breach any terms of this Agreement.
• Effect of Termination: Upon termination, all rights granted to you under this Agreement will cease immediately.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States.

13. Amendments

We reserve the right to modify or update this Agreement at any time. Any changes will be effective immediately upon posting the revised Agreement on our website. Your continued use of the Service constitutes acceptance of those changes.

14. Entire Agreement

This Agreement, together with our Privacy Policy and any other policies or guidelines incorporated by reference, constitutes the entire agreement between you and AldAstra regarding your use of the Service and supersedes all prior understandings or agreements, whether written or oral.
